Terms of Service - Denviprime

These Terms of Service ("Terms") govern your access to and use of Denviprime Inc.'s ("we", "us", or "our") website and mobile applications (including Vexa – AI Photo Generator).

Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Use of Services

Our services are provided "as is" and "as available." We make no warranties, expressed or implied, regarding the operation of our services or the information, content, or materials included in our services.

Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of Denviprime Inc. and are protected by international copyright, trademark, and other intellectual property laws.

For our mobile applications that allow image export:

Non-premium users' exported images will include a watermark indicating the source of the image
Premium users may export images without watermarks
Users retain rights to their original content, subject to these Terms

Third-Party AI Processing

Some features of our applications (such as AI portrait generation in Vexa) rely on NanoBanana (Google Gemini Image Generation API), Google's AI image generation technology. When you use these features:

Your photo or likeness is transmitted to Google's NanoBanana API solely to generate the portrait you requested. This transmission is governed by Google's Privacy Policy and the Google Gemini API Terms of Service.
We do not store your photos or facial data on our servers at any point in this process.
By using AI generation features, you consent to this transmission to Google's NanoBanana API for the purpose of fulfilling your request.
You must own or have the rights to any photo you submit for processing. Do not upload photos of other individuals without their explicit consent.

Google API Services

Our applications may integrate Google API services, including but not limited to Google Sign-In and Google Play Services. By using features that rely on these services, you agree to be bound by Google's own policies in addition to these Terms:

Analytics and Data Collection

We use Mixpanel, a third-party analytics service, to collect anonymous, aggregated usage data. This data is never linked to any individual user or personal identity. By using our services, you consent to this anonymous data collection. For full details on how we handle your data, please refer to our Privacy Policy.

Subscriptions and In-App Purchases

Vexa offers optional in-app purchases and auto-renewing subscriptions ("Premium Membership") processed through the Apple App Store. By purchasing a subscription:

Payment is charged to your Apple ID account at confirmation of purchase.
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
Your account is charged for renewal within 24 hours prior to the end of the current period at the same rate.
You can manage and cancel subscriptions at any time in your Apple ID Account Settings. Cancellation takes effect at the end of the current billing period.
No refunds are issued for unused portions of a subscription term. Refund requests must be directed to Apple through the App Store.
Any unused portion of a free trial period will be forfeited when you purchase a subscription.

Apple Platform Terms

If you are using Vexa downloaded from the Apple App Store, the following terms apply:

These Terms are a contract between you and Denviprime Inc. only, and not with Apple Inc. ("Apple"). Apple is not a party to these Terms and is not responsible for the App or its content.
Apple has no obligation to furnish any maintenance or support services with respect to the App.
In the event of any failure of the App to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price (if applicable). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, consumer protection claims, or intellectual property infringement claims.
Your use of the App must comply with the Apple App Store Terms of Service.
Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

Age Requirements

You must be at least 17 years old to use the App, in accordance with the App's age rating on the Apple App Store. By using our services, you represent that you meet this age requirement.

Limitation of Liability

To the maximum extent permitted by law, Denviprime Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
